By submitting payment, checking any agreement box at checkout, signing any agreement, scheduling any consultation, attending any session, accessing any portal, receiving any deliverable, or continuing to use the Services, you agree to be legally bound by these Terms and Conditions in full.

Purchasing Requirements

the correctness, accuracy, timeliness, reliability, completeness, or usefulness of any information
the effectiveness of any strategy, framework, recommendation, or deliverable
the achievement of any business, revenue, financial, or operational result
uninterrupted or error-free access to the Website, membership portals, digital products, software integrations, downloads, recordings, or third-party platforms

You expressly acknowledge that any use of the Website, Programs, Products, and Services is at your sole risk.

You, and not Apex Business Coaching LLC or its affiliates, licensors, vendors, or service providers, assume the entire risk and cost of any repair, servicing, correction, software issue, business loss, or operational consequence arising from your use of the Services.

To the extent applicable law does not permit the exclusion of certain implied warranties, such exclusions shall apply to the fullest extent permitted by law.

Payment

You agree to pay all fees, charges, installment payments, subscription fees, recurring membership fees, and other amounts due for any Website, Program, Product, Service, coaching package, consulting engagement, advisory service, mastermind membership, digital course, strategy session, Zoom consultation, deliverable, subscription, or payment plan purchased from Apex Business Coaching LLC.

By submitting payment, you authorize Apex Business Coaching LLC and its payment processors to charge the payment method provided for all agreed amounts, including any applicable installment payments, recurring subscription charges, late fees, administrative fees, dispute fees, chargeback fees, collection costs, and attorneys’ fees where permitted by law.

You are solely responsible for providing and maintaining a valid and current credit card, debit card, ACH account, or other approved payment method.

If any payment is declined, reversed, returned, disputed, charged back, deemed fraudulent, or otherwise not successfully processed for any reason, Apex Business Coaching LLC reserves the right to immediately suspend or terminate access to all Programs, Products, Services, memberships, portals, coaching sessions, advisory services, Zoom links, deliverables, templates, and future appointments until all outstanding amounts are paid in full.

For payment plans, installment plans, recurring subscriptions, or mastermind memberships, any missed payment shall constitute a default under this Agreement.

Upon default, Apex Business Coaching LLC may, at its sole discretion:

suspend all access immediately
cancel future sessions or appointments
revoke portal and digital access
accelerate and declare the entire remaining balance immediately due and payable
refer the balance for collection
recover reasonable administrative fees, dispute fees, chargeback fees, attorneys’ fees, and costs incurred in collection

Multiple missed payments, failed payments, or disputed payments may result in permanent termination of access and denial of future purchases or services.

Termination or suspension of access shall not relieve you of your obligation to pay any remaining balance owed under any installment plan, subscription, or service agreement.

Refunds, Cancellations, Business Coaching & Advisory Services

All purchases made through Apex Business Coaching LLC, including but not limited to Business Coaching Services, Business Consulting Services, Six-Figure Business Mastermind™, Six-Figure CEO Business Mastery™, Private Business & Financial Advisory Services, Strategy Sessions, VIP Advisory, digital courses, templates, workbooks, live Zoom sessions, business plans, strategic plans, quarterly planning templates, consulting documents, and any other coaching, consulting, or advisory deliverables, are final and non-refundable.

Due to the immediate allocation of time, strategic intellectual property, coaching access, live advisory support, digital access credentials, downloadable materials, and custom business deliverables, no refunds, partial refunds, credits, reversals, or chargebacks are permitted once payment has been processed, except where otherwise required by applicable law.

By purchasing any service, product, program, membership, mastermind, consulting engagement, or advisory service, Client expressly acknowledges and agrees that:

Services begin immediately upon purchase, including but not limited to onboarding, welcome emails, strategy preparation, scheduling, access to digital platforms, portal login credentials, templates, planning materials, advisory preparation, or custom deliverables.
Any scheduled session, Zoom consultation, strategy call, business planning session, or advisory meeting constitutes partial or full fulfillment of services rendered, regardless of whether Client later elects to continue participation.
Any custom-created deliverables, including but not limited to business plans, strategic plans, website strategy documents, revenue plans, sales funnels, quarterly plans, marketing frameworks, financial advisory documents, templates, recaps, and notes, are considered fully rendered professional services and are non-refundable once prepared, delivered, or reviewed.
Access granted to any digital course, mastermind portal, online membership, workbook, training module, or other digital asset constitutes immediate delivery and fulfillment.
Failure to attend a scheduled session, failure to implement recommendations, change in business circumstances, personal scheduling conflicts, dissatisfaction with pace of results, or decision not to continue shall not constitute grounds for refund, reversal, or dispute.

Client further agrees that all disputes regarding services shall first be submitted in writing to Apex Business Coaching LLC for internal resolution prior to initiating any chargeback, bank reversal, payment dispute, or third-party claim.

Chargebacks and Payment Disputes

By completing a purchase, Client expressly agrees not to initiate a chargeback, debit card dispute, credit card dispute, ACH reversal, payment reversal, or claim of non-delivery for services, programs, coaching, advisory, consulting, or digital products that have been delivered, scheduled, accessed, or performed.

If Client initiates a chargeback or payment dispute after services have been delivered, Client agrees that Apex Business Coaching LLC may present the following as evidence of fulfillment:

signed acceptance of these Terms & Conditions
payment confirmation
welcome emails
access credentials and login activity
email correspondence
text messages
Zoom attendance logs
calendars and scheduled sessions
deliverables created and sent
meeting notes and recap emails
planning templates and advisory documents
all written acknowledgments of receipt

Client shall remain financially responsible for all amounts due, including any chargeback fees, administrative fees, collection costs, reasonable attorneys’ fees, and costs incurred in defending such dispute.

Apex Business Coaching LLC reserves the right to immediately suspend or terminate access to all programs, memberships, advisory services, coaching services, and digital assets upon notice of any payment dispute or chargeback.

Intellectual Property

All Website content, Programs, Products, Services, coaching materials, consulting deliverables, advisory documents, digital courses, mastermind materials, templates, frameworks, workbooks, videos, audio recordings, slide decks, business plans, strategic plans, graphics, designs, logos, trademarks, trade names, service marks, downloads, written materials, emails, text communications, recordings, and all other content provided by Apex Business Coaching LLC (collectively, the “Materials”) are and shall remain the exclusive intellectual property of Apex Business Coaching LLC and are protected by applicable copyright, trademark, trade secret, and other intellectual property laws.

This includes, without limitation, all proprietary frameworks, methodologies, branded program names, training systems, strategic models, templates, workbooks, planning documents, visual assets, and coaching methodologies, including but not limited to:

Six-Figure Business Mastermind™
Six-Figure CEO Business Mastery™
Apex Business Ascension Framework™
Apex Business Coaching™
all associated branded frameworks, systems, templates, and deliverables

Any unauthorized use, reproduction, duplication, modification, republication, uploading, posting, transmission, sharing, forwarding, distribution, sale, licensing, sublicensing, leasing, renting, exploitation, or creation of derivative works from the Materials shall constitute intellectual property infringement and may result in legal action to the fullest extent permitted by law.

You are granted a limited, revocable, non-exclusive, non-transferable license to access and use the Materials solely for your own personal, internal business, and non-commercial use in accordance with these Terms and Conditions.

You expressly agree that you may not:

share or forward Materials with any third party
upload Materials to file-sharing platforms, cloud drives, AI tools, public repositories, or social platforms
resell, repackage, white-label, sublicense, or commercially exploit the Materials

Any unauthorized use shall be deemed theft, infringement, and misappropriation of intellectual property rights, and Apex Business Coaching LLC reserves all legal and equitable remedies available, including injunctive relief, damages, attorneys’ fees, and costs.

Confidentiality

To access certain features of our Website, Programs, Products, and Services, including but not limited to digital portals, online courses, mastermind memberships, Zoom sessions, recordings, downloads, and membership areas, you may be provided with a username, password, access link, meeting link, or other access credentials.

You agree to keep all such credentials strictly confidential and secure and shall not share, disclose, transfer, forward, distribute, or otherwise provide access to any third party, including but not limited to friends, family members, business partners, colleagues, employees, contractors, clients, or any other person.

You are solely responsible for maintaining the confidentiality and security of your login credentials and for all activity occurring under your account.

You further agree to maintain the confidentiality of all proprietary materials, coaching content, consulting deliverables, frameworks, templates, recordings, business plans, strategic plans, and any confidential business methodologies provided by Apex Business Coaching LLC.

If Apex Business Coaching LLC has reasonable grounds to believe that you have:

shared login credentials
forwarded Zoom links or recordings
distributed Materials to any third party
allowed unauthorized access
copied or shared confidential content
violated the confidentiality or intellectual property provisions of these Terms

we reserve the right, in our sole discretion, to immediately suspend or permanently terminate your access to all current and future Programs, Products, Services, portals, memberships, and coaching engagements, in whole or in part, without refund and without relieving you of any remaining payment obligations.

Such action may be taken in addition to any other legal or equitable remedies available.

Forbidden Activities

You are strictly forbidden from the following:

Causing damage to the Package and/or Course website or private membership site'
Using the Package and/or Course website or private membership site for any unlawful, illegal, fraudulent or harmful purpose or activity.
Using the Package and/or Course website or private membership site to copy, store, host, transmit, send, use, publish or distribute any spyware, virus, worm, Trojan horse, keystroke logger or other malicious software
Using the Package and/or Course website or private membership site to transmit, send or deliver unsolicited communications or for other marketing or advertising purposes.
Systematically or automatically collecting data from the Package and/or Course website or private membership site.
Sharing private, copyrighted and proprietary information from the Package and/or Course with anyone else or otherwise sharing your username and/or password.

No Individual Coaching

Unless specified as "Coaching Package" Courses do not include individual coaching. It is a self-study Package and/or Course. At times, Coach may offer group calls in her sole discretion. Participating in such group calls or Package and/or Course does not create an individual coaching relationship.

your violation of any law, regulation, rule, or legal requirement

your business activities, clients, customers, or third-party relationships
your reliance upon or implementation of any recommendation, framework, or deliverable
any dispute, reversal, or chargeback initiated by you after services have been delivered

This obligation includes the duty to defend the Indemnified Parties against any such claim and to reimburse all related legal fees, professional fees, settlement costs, and other expenses incurred.

These indemnification obligations shall survive termination of this Agreement and continued use or discontinuation of the Services.

Construction of Agreement

This Agreement constitutes the entire understanding and agreement of the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements or understandings, inducements or conditions, express or implied, written or oral, between the parties. In the event that any provision of this Agreement is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from the Agreement, such determination shall not affect the validity and enforceability of any other remaining provisions. The failure of Coach to exercise or enforce any right or provision of the Agreement shall not constitute a waiver of such right or provision. Any ambiguities in the interpretation of the Agreement shall not be construed against the drafting party.

Disclaimer of Warranties and Limitations of Liability
